1. DEFINITIONS AND SCOPE OF APPLICATION
1.1. In these Terms of Use, “Nutribullet Vietnam”, “We” and “Our” refer to the Nutribullet Vietnam Website and/or CÔNG TY TNHH PERFETTO VIỆT NAM, the operator of the Website and official distributor of Nutribullet products in Vietnam.
1.2. “Website” means the Nutribullet Vietnam website and all content, features and information pages belonging to the Website.
1.3. “Customer”, “You” means any individual or organization accessing or using the Website or purchasing products through sales channels linked from the Website.
1.4. “Product” means Nutribullet products featured on the Website, including but not limited to blenders, personal blenders, handheld blenders, cups/tumblers, blades, lids, accessories, components and other related products.
1.5. “Perfetto E-store” is an e-commerce channel operated by Perfetto Vietnam Co., Ltd., where Customers may purchase products after being redirected from the Nutribullet Vietnam Website.
1.6. “Order” means a product purchase request placed by a Customer on the Perfetto E-store or other sales channels announced by Nutribullet Vietnam.
1.7. These Terms apply to all access to and use of the Nutribullet Vietnam Website. Purchases made through E-store Perfetto or other sales channels are also subject to the terms, policies and regulations applicable to those sales channels.
1.8. The Nutribullet Vietnam Website primarily provides information and content relating to the brand, products and Nutribullet activities in Vietnam. The Website does not directly receive, process or complete product purchase transactions, unless otherwise announced on the Website.
1.9. The Customer is responsible for carefully reading these Terms of Use before using the Website. If the Customer does not agree with any part of the Terms, the Customer should stop using the Website.
2. RIGHTS AND RESPONSIBILITIES WHEN USING THE WEBSITE
2.1. The Customer may use the Website for lawful purposes, including learning about Nutribullet, its products, usage instructions, promotions and other information published on the Website.
2.2. Customers must not use the Website to engage in activities that violate the law, infringe the lawful rights and interests of other organizations or individuals, or affect the operation of the Website.
2.3. Customers must not access or attempt to access the Website’s systems, servers or data without authorization; interfere with, damage or disrupt the operation of the Website; use software or automated tools to collect data without authorization; copy, modify, distribute or use Website content for commercial purposes without permission; post content that violates the law, is insulting, threatening or fraudulent, or infringes third-party rights; use false information or another person’s information to conduct activities on the Website; or engage in fraudulent conduct or exploit system errors for personal gain.
2.4. Nutribullet Vietnam may restrict, suspend or terminate a Customer’s access to the Website if it detects conduct that violates these Terms or applicable law.
3. WEBSITE INFORMATION AND CONTENT
3.1. Nutribullet Vietnam strives to ensure that the information on the Website is up to date and accurate, including information about the brand, products, features, specifications, instructions for use and related content.
3.2. The information on the Website is provided primarily for reference and product introduction purposes. If there is any discrepancy between the information displayed on the Website and the information provided by the sales channel, the information from the sales channel where the Customer completed the transaction will apply to that transaction.
3.3. Product images on the Website may differ slightly from the actual products due to device display settings, lighting, color or changes to the manufacturer’s design or packaging.
3.4. Product specifications, features, design, color, packaging and other product information may be changed by the manufacturer from time to time. Nutribullet Vietnam reserves the right to update or adjust this information on the Website.
3.5. Nutribullet Vietnam reserves the right to amend, update or remove content on the Website without prior notice, except where otherwise required by law.
4. REDIRECTION TO PURCHASE CHANNELS
4.1. The Nutribullet Vietnam Website does not directly provide functionality for placing orders, making payments or completing product purchase transactions.
4.2. For products available for online purchase, the Website may provide buttons or links such as “Buy now”, “Details” or similar options to direct the Customer to the Perfetto E-store or another official sales channel.
4.3. After being redirected to the E-store or relevant sales channel, the Customer will select products, place orders, make payments and conduct related transactions according to the process applied by that channel.
4.4. Information on prices, stock availability, promotions, shipping fees, payment methods, delivery times and transaction terms is governed by the information published on the sales channel where the Customer places the Order.
4.5. The Website’s provision of links to the E-store or other sales channels is for the Customer’s convenience and does not mean that the purchase transaction is conducted directly on the Nutribullet Vietnam Website.
4.6. For matters relating to Orders placed through the E-store or another sales channel, Customers must contact the operator of that sales channel using the support information provided through the relevant channel.
5. PRICES AND COMMERCIAL INFORMATION
5.1. The Website may display selling prices or reference prices for products for informational purposes.
5.2. The actual price applicable to the transaction is determined at E-store Perfetto or the sales channel where the Customer places the Order.
5.3. Prices, promotions, gifts, discount codes and commercial terms may change from time to time.
5.4. If the pricing or promotional information on the Website differs from the information at the E-store or sales channel, the information provided by the sales channel where the Customer completed the transaction will apply.
6. PROMOTIONS
6.1. Nutribullet Vietnam may feature promotions, special offers or activities for Customers on the Website.
6.2. Each promotion may have its own terms regarding the promotion period, eligible customers, eligible products, quantity, discount value and other relevant conditions.
6.3. If a promotion is offered on the E-store or another sales channel, participation and eligibility for the offer are subject to that channel’s promotion terms and conditions.
6.4. Nutribullet Vietnam reserves the right to modify, suspend or end promotions in accordance with the published terms and applicable law.
7. TRANSACTIONS ON THE PERFETTO E-STORE
7.1. Product purchases made through E-store Perfetto are subject to the terms and policies published on the E-store.
7.2. Matters relating to Order receipt and confirmation, payment methods, actual selling prices, shipping fees, delivery, product exchanges and returns, refunds, warranty and Customer Care are handled in accordance with the policies applicable at the Perfetto E-store.
7.3. Nutribullet Vietnam does not require the Customer to make payments directly on the Nutribullet Vietnam Website. The Customer only makes payments on the E-store or official sales channel to which the Customer is redirected.
7.4. Customers should carefully check the Order details, selling price, payment method, delivery address and transaction terms before confirming their purchase on the E-store.
8. DELIVERY
8.1. Product delivery is provided for Orders placed through E-store Perfetto or the relevant sales channel.
8.2. Delivery times, shipping fees, delivery coverage and shipping providers are governed by the policy of the sales channel where the Customer placed the Order.
8.3. Customers are responsible for providing accurate delivery information when placing an Order.
8.4. For issues arising during delivery, Customers must contact the sales channel or support provider specified in the Order for assistance.
8.5. The Nutribullet Vietnam Website does not directly deliver products for Orders placed on the E-store or through other sales channels.
9. PRODUCT EXCHANGES AND RETURNS
9.1. Product exchanges and returns are handled in accordance with the return and exchange policy published on the Perfetto E-store or by the sales channel where the Customer placed the Order.
9.2. Exchange and return conditions may include the condition of the product, accessories, packaging, documents, request deadline and other conditions under the applicable policy.
9.3. If a product is delivered incorrectly, is missing items, is damaged during shipping or has a defect covered by the warranty/return policy, Customers should contact the sales channel where the Order was placed for assistance.
9.4. The Customer should not disassemble or repair the product without authorization before requesting an exchange, return or warranty service, as this may affect the process of determining the cause and the Customer’s rights.
10. PRODUCT WARRANTY
10.1. Genuine Nutribullet products are covered by the manufacturer’s warranty policy and the warranty policy published from time to time.
10.2. Warranty duration, coverage and conditions may vary by product. Customers should refer to the warranty information supplied with the product or published through Nutribullet Vietnam’s official channels.
10.3. Warranty coverage may not apply to damage caused by improper use, use for an unintended purpose, use with an unsuitable power supply or operating conditions, dropping, impact, water immersion or external force, unauthorized disassembly, repair or modification of the product’s structure, use of unsuitable accessories or components, normal wear and tear, or other circumstances outside the manufacturer’s warranty coverage.
10.4. If a product develops a fault or operates abnormally, Customers should stop using it and contact the published warranty support channel for assistance.
11. PRODUCT USE AND SAFETY INSTRUCTIONS
11.1. The Customer must carefully read the user manual before operating the product.
11.2. Products must be used for their intended purpose, at the specified capacity and in accordance with the manufacturer’s instructions.
11.3. Do not use the product to process ingredients or perform operations not recommended by the manufacturer.
11.4. Customers must clean and store the product in accordance with the instructions to ensure safety, performance and product life.
11.5. Do not disassemble, repair or modify the product structure yourself. If the product shows any abnormal signs, the Customer should stop using it and contact support for assistance.
11.6. The usage guidance published on the Website is provided to assist Customers. In the event of any discrepancy, the official instructions supplied with the product and the manufacturer’s instructions will prevail.
12. INTELLECTUAL PROPERTY RIGHTS
12.1. All content on the Website, including but not limited to brand names, logos, images, videos, text, designs, interfaces, graphics, product information and other materials, is owned or legally used by Nutribullet, Nutribullet Vietnam or relevant third parties.
12.2. The Customer may not copy, reproduce, edit, distribute, transmit, publish or use Website content for commercial purposes without the written consent of the relevant rights holder.
12.3. The Nutribullet brand name and logo are the intellectual property of their trademark owner and are used in Vietnam under the lawful rights of the relevant parties.
12.4. Any unauthorized use of content, images, trademarks or intellectual property on the Website may be handled in accordance with applicable law.
13. INFORMATION SECURITY
13.1. Nutribullet Vietnam respects Customers’ privacy and collects, uses, stores and protects information in accordance with the Privacy Policy published on the Website and applicable law.
13.2. If Customers provide information through the Website, it may be used for appropriate purposes, including responding to Customer requests, providing product information to assist Customers, providing promotional information where Customers have agreed to receive it, improving the Website and user experience, or fulfilling legal obligations.
13.3. For transactions made through the Perfetto E-store, the collection and processing of information for the Order are carried out in accordance with the privacy and data policies applicable at the E-store.
13.4. Nutribullet Vietnam may use service providers to support Website operations or related activities to the extent necessary and in accordance with applicable law.
14. CUSTOMER-PROVIDED CONTENT
14.1. If the Website allows the Customer to submit reviews, comments, images or other content, the Customer is responsible for the accuracy and lawfulness of the submitted content.
14.2. Customers must not provide content that violates the law, infringes the privacy or rights of others, infringes intellectual property rights, is insulting, threatening or fraudulent, contains malicious code or content that affects the system, constitutes unauthorized advertising or is unrelated to the operation of the Website.
14.3. Nutribullet Vietnam reserves the right to review, edit or remove content that violates these Terms or applicable law.
15. LINKS TO THIRD-PARTY WEBSITES AND CHANNELS
15.1. The Website may contain links to E-store Perfetto, e-commerce platforms, social media or other websites.
15.2. The links are provided for the Customer’s convenience in learning more about products or purchasing them.
15.3. For websites or platforms not directly operated by Nutribullet Vietnam, the Customer must comply with the terms and policies applicable to those platforms.
15.4. Nutribullet Vietnam is not responsible for the content, policies or activities of external websites outside our control, except where otherwise provided by law.
16. LIMITATION OF LIABILITY
16.1. Nutribullet Vietnam strives to keep the Website operating reliably and provide accurate information. However, the Website may be temporarily interrupted due to maintenance, upgrades, technical errors, network issues or other causes beyond its reasonable control.
16.2. Nutribullet Vietnam is not liable for damage arising from Customers’ improper use of the product, use for an unintended purpose or unauthorized repair or modification of the product.
16.3. Nutribullet Vietnam is not responsible for issues arising from transactions conducted on a third-party platform if those issues are outside Nutribullet Vietnam’s control.
16.4. For transactions made through the Perfetto E-store, the rights and obligations relating to the transaction are governed by the E-store’s terms and policies and applicable law.
16.5. Nothing in these Terms is intended to exclude or limit any legal rights of the Customer that may not legally be excluded or limited.
17. FORCE MAJEURE
17.1. Nutribullet Vietnam is not responsible for failure to perform or delay in performing its obligations due to events beyond its reasonable control, including but not limited to natural disasters, epidemics, fires, wars, strikes, system failures, power outages, network disruptions, decisions of government authorities or other force majeure events as prescribed by law.
17.2. In the event of force majeure, Nutribullet Vietnam will make reasonable efforts to take measures to limit the impact on Customers.
18. GOVERNING LAW AND DISPUTE RESOLUTION
18.1. These Terms of Use are governed by and construed in accordance with the laws of Vietnam.
18.2. Any issues or disputes relating to use of the Website will first be resolved by the parties through negotiation and in a spirit of cooperation.
18.3. Disputes arising from product purchase transactions at E-store Perfetto will be resolved in accordance with the E-store’s terms and policies and applicable law.
18.4. If a dispute cannot be resolved through negotiation, it shall be resolved by the competent authority in accordance with Vietnamese law.
19. AMENDMENTS AND UPDATES TO THE TERMS
19.1. Nutribullet Vietnam may amend, supplement or update these Terms of Use when necessary to align with the operation of the Website, products, services or applicable law.
19.2. Changes will be published on the Website and take effect when posted, unless otherwise specified.
19.3. By continuing to access and use the Website after the Terms have been updated, the Customer is deemed to have accepted the revised content.
